Item 8.01.

Other Events.

The Company extended the date by which the Company has to complete its initial business combination from December 8^th, 2022 to March 8th, 2022 (the “Second Extension”). The Extension is the second of four three-month extensions permitted under the Company’s governing documents and provides the Company with additional time to complete its initial business combination.
