TSMC Announces Completion of Offering of US$3.5 Billion of Senior Unsecured Notes

On April 22, 2022, TSMC Arizona Corporation (“TSMC Arizona”), a wholly-owned subsidiary of Taiwan Semiconductor Manufacturing Company Limited (TWSE: 2330, NYSE: TSM) (“TSMC”), announced that it completed its previously announced underwritten registered public offering of US$3.5 billion aggregate principal amount of U.S. dollar-denominated senior unsecured notes (the “Notes”), unconditionally and irrevocably guaranteed by TSMC, consisting of:

 

   

US$1,000 million aggregate principal amount of 3.875% notes due April 22, 2027, at an issue price per note of 99.829%;

 

   

US$500 million aggregate principal amount of 4.125% notes due April 22, 2029, at an issue price per note of 99.843%;

 

   

US$1,000 million aggregate principal amount of 4.250% notes due April 22, 2032, at an issue price per note of 99.742%; and

 

   

US$1,000 million aggregate principal amount of 4.500% notes due April 22, 2052, at an issue price per note of 99.771%.

TSMC and TSMC Arizona intend to use the net proceeds of the sale of the Notes for general corporate purposes.
