On November 24, 2020, Jumia Technologies AG (the “Company”) entered into a sales agency agreement (the “Sales Agreement”) with Citigroup Global Markets Inc. (“Citi”) pursuant to which the Company agreed to issue to Citi, as sales agent, an aggregate of 7,969,984 of the Company’s ADSs and Citi has agreed to use commercially reasonable efforts, consistent with its normal trading and sales practices and applicable law, to sell all of these ADSs at the market price, or at a price related to the market price, prevailing at the time of sale. Any ADSs that may be sold pursuant to the Sales Agreement will be issued pursuant to the Company’s shelf registration statement on Form F-3 (File No. 333-240016), as supplemented by the prospectus supplement dated November 30, 2020 relating to the sale of the ADSs.

A copy of the Sales Agreement is attached as Exhibit 1.1. The foregoing description of the Sales Agreement does not purport to be complete and is qualified in its entirety by reference to such exhibit.
