Item 8.01.Other Events.

 

On November 3, 2020, CONX Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 75,000,000 units (the “Units”). Each Unit consists of one share of Class A common stock of the Company, par value $0.0001 per share, and one-fourth of one redeemable warrant of the Company (“Warrant”), with each whole Warrant entitling the holder thereof to purchase one share of Class A common stock for $11.50 per share, subject to adjustment. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $750,000,000 (before underwriting discounts and commissions and offering expenses).

 

On November 3, 2020, simultaneously with the consummation of the IPO, the Company completed the private placement (the “Private Placement”) of an aggregate of 11,333,333 warrants (the “Private Placement Warrants”) to the Company’s Sponsor, nXgen Opportunities, LLC (the “Sponsor”), at a purchase price of $1.50 per Private Placement Warrant, generating gross proceeds to the Company of $17,000,000.

 

The net proceeds from the IPO together with certain of the proceeds from the Private Placement, $750,000,000 in the aggregate (the “Offering Proceeds”), were placed in a trust account established for the benefit of the holders of the Company’s public shareholders and the underwriters with Continental Stock Transfer & Trust Company acting as trustee.

 

An audited balance sheet as of November 3, 2020 reflecting receipt of the Offering Proceeds has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
