We have acted as tax counsel to you in connection with the issuance and sale of $250,000,000 aggregate principal amount of Floating Rate Senior Notes due 2017 (the “Floating Rate Notes”) of HSBC USA Inc. We hereby confirm to you that the disclosure in the Prospectus set forth under the heading “U.S. Federal Income Tax Considerations Relating to Debt Securities,” as updated by the statements in the Prospectus Supplement under the heading “Certain Additional U.S. Federal Income Tax Considerations Relating to the Notes,” represents our opinion as to certain U.S. federal income tax consequences material to the purchase, ownership and disposition of the Notes, subject to the limitations set forth thereunder.
