Item 2.02.

Results of Operations and Financial Condition.

On May 4, 2023, HF Sinclair Corporation (the “Company”) issued a press release announcing the Company’s first quarter 2023 results. The press release also announced a regular quarterly dividend of $0.45 per share. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein in its entirety.
