(b) Departure of Directors or Certain Officers
Retirement Announcement from Donald Misheff and Philip Martens
On April 13, 2023, Donald Misheff and Philip Martens, two members of the Board of Directors (the “Board”) of Trinseo PLC (the “Company”), notified the Company of their decision to retire from the Board and not stand for reelection at the Company’s 2023 annual general meeting of shareholders. Following the annual general meeting, the size of the Board is expected to be decreased to eleven members. The decision by Mr. Misheff and Mr. Martens to retire as directors of the Company was not the result of any disagreement with the Company on any matter relating to the operations, internal controls, policies or practices of the Company.
Mr. Misheff has served on the Board since 2015, and Mr. Martens has served since 2016. During their tenure, both Mr. Misheff and Mr. Martens have been an important part of the Company’s growth and transformation. The Company and the Board are grateful to Mr. Misheff and Mr. Martens for their years of dedicated service to the Company.
