Item 1.01. Entry into a Material Definitive Agreement
On April 17, 2023, New Relic, Inc., a Delaware corporation (the “Company”), entered into an agreement (the “Letter Agreement”) with JANA Partners LLC, a Delaware limited liability company (“JANA”).
Pursuant to the Letter Agreement, the Company has agreed to take all necessary action to nominate Kevin Galligan (the “JANA Nominee”) on its slate of recommended nominees standing for election to the Company’s board of directors (the “Board”) at the 2023 annual meeting of the Company’s stockholders (the “2023 Annual Meeting”)
In connection with the Letter Agreement, the JANA Nominee has submitted an irrevocable resignation letter (the “Irrevocable Resignation Letter”) resigning as a director of the Company effective only upon, and subject to, the occurrence of a material breach by JANA of certain of its obligations under the Irrevocable Resignation Letter with respect to the 2023 Annual Meeting.
