Insight Acquisition Corp. (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2022 by the prescribed due date for the reasons described below.

The Company has recently determined that certain information required to prepare a complete filing of its Form 10-K for the fiscal year ended December 31, 2022 was not available in a timely manner without unreasonable expense and effort. The Company is working diligently to complete its Form 10-K for such period as soon as possible and expects to file such report within fifteen calendar days following the required due date.
