Item 1.02 Termination of a Material Definitive Agreement.

On March 28, 2023, Magellan Health, Inc. (“Magellan”) entered into an agreement to sell its shares of Class A common stock in Evolent Health, Inc. (the “Company”) to certain funds managed by a prominent institutional fund manager with existing investments in the Company’s Class A common stock. Concurrently with the execution of this agreement, the Company agreed to waive all restrictions in its Lock Up Agreement, dated as of January 20, 2023 (the “Lock Up Agreement”), with Magellan that would prohibit this sale. The Lock Up Agreement will terminate concurrently with the closing of this sale.

A description of the material terms of the Lock Up Agreement was previously disclosed in the Company’s Current Report on Form 8-K filed on January 23, 2023.
