ITEM 8.01.

Other Events.

On March 7, 2023, Canadian Pacific Railway Limited (“CP”) issued a press release announcing the ratification of a new collective agreement with the Brotherhood of Locomotive Engineers and Trainmen representing hundreds of locomotive engineers and trainmen of CP and Kansas City Southern (“KCS”) in U.S. Midwest locations. The new collective agreement will take effect upon the consummation of the proposed CP-KCS combination, which remains subject to receipt of regulatory approval by the U.S. Surface Transportation Board. A copy of this press release is attached as Exhibit 99.1.
