Other Events.

On January 31, 2023, Mason Industrial Technology, Inc., a Delaware corporation (the “Company”), issued a press release announcing it will redeem all of its outstanding shares of Class A common stock that were included in the units issued in the Company’s initial public offering, effective as of February 15, 2023, because the Company will not consummate an initial business combination within the time period required by its Amended and Restated Certificate of Incorporation. A copy of the press release of the Company is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
