Other Events.

On January 11, 2023, Webster Financial Corporation (“Webster”) issued a press release announcing that Webster Bank, National Association, a wholly owned subsidiary of Webster, has completed its previously announced acquisition of StoneCastle Insured Sweep, LLC, a subsidiary of StoneCastle Partners, LLC.  A copy of the press release is filed as Exhibit 99.1 to this current report on Form 8-K and is incorporated by reference herein.
