Other Events.

On December 19, 2022, Broadway Financial Corporation, a Delaware corporation (the “Company”) issued a press release announcing that the Board of Directors of the Company approved the Company’s extension of a series of loans aggregating up to $5 million to City First Bank, National Association Employee Stock Ownership Plan Trust which was established by the City First Bank, National Association Employee Stock Ownership Plan (collectively, the “ESOP”) for the purpose of the Trust purchasing shares of the Company’s common stock in the open market or in private sales.  A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
