Other Events
On November 10, 2022, in connection with the separation and distribution of approximately 15% of the shares of common stock of its wholly-owned subsidiary F&G Annuities & Life, Inc. (“F&G”), Fidelity National Financial, Inc. (“FNF”) announced in a press release that its board of directors has declared a distribution to FNF shareholders of 68 shares of F&G’s common stock for every 1,000 shares of FNF common stock they own as of the close of business on November 22, 2022, the record date for the distribution. The distribution is expected to be effective at 12:01 a.m. Eastern time on December 1, 2022. Completion of the distribution is subject to the satisfaction or waiver of a number of conditions, including the effectiveness of the Form 10 registration statement and certain other conditions described in the information statement included in the Form 10 registration statement and in the form of Separation and Distribution Agreement, which is filed as an exhibit to the Form 10 registration statement.
