Item 8.01 Other Events.
On October 11, 2022, Northern Oil and Gas, Inc. (the “Company”) issued a press release relating to its proposed offering of Convertible Senior Notes due 2029 (the “Notes”) to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 8.01.
