Item 3.01. 
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
As previously disclosed, on October 3, 2022, Austerlitz Acquisition Corporation II (the “Company”) announced that the Company’s sponsors, Cannae Holdings, Inc. and Trasimene Capital Management, LLC (the “Sponsors”), are seeking approval of the Company’s shareholders to redeem its outstanding Class A ordinary shares for cash held in its trust account prior to December 31, 2022. The Company expires by its terms on March 2, 2023. The Sponsors believe that consummation of a suitable merger is highly improbable and it is therefore in shareholders’ best interests to return the cash in trust within calendar 2022 rather than wait for expiration in 2023.

There will be no redemption rights or liquidating distributions with respect to the Company’s warrants, which will expire worthless.

Following such announcement, on October 4, 2022, the New York Stock Exchange (the “NYSE”) notified the Company, and publicly announced, that the NYSE determined to commence proceedings to delist the Company’s warrants from the NYSE and that trading in the Company’s warrants would be suspended immediately, due to trading price levels pursuant to Section 802.01D of the NYSE Listed Company Manual. As a result of the expected expiration of the warrants described above, the Company does not intend to appeal the NYSE’s determination.
