Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 1, 2022, Varun Wadhawan resigned from his role as Chief Operating Officer of Fortress Capital Acquisition Corp. (the “Company”), effective immediately. Mr. Wadhawan’s resignation was due to his resignation from his roles at Fortress Investment Group LLC and its affiliates (“Fortress”) in connection with his employment with Rithm Capital Corp. (NYSE: RITM), and was not due to any disagreement with the Company or any matter relating to the Company’s operations, policies or practices.
