Item 7.01. Regulation FD Disclosure.

On June 29, 2022, Grayscale Investments, LLC, the sponsor of Grayscale Bitcoin Trust (BTC) (the “Trust”), petitioned the United States Court of Appeals for the District of Columbia for review of the Securities and Exchange Commission’s June 29, 2022 final order denying approval to list shares of the Trust on NYSE Arca as an exchange-traded product. A copy of the press release dated June 29, 2022 issued by Grayscale Investments, LLC is attached to this Report as Exhibit 99.1.
