Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 6, 2022, Thomas H. Krause, President of the Broadcom Software Group of Broadcom Inc. (the “Company”), notified the Company that he has decided to resign, effective July 15, 2022, and accept another role at a privately held enterprise software company.  Mr. Krause’s resignation is not the result of any disagreement with the Company or management on any matter relating to the Company’s performance, operations, policies, practices, or financial statements, including its controls or other financial related matters.  Mr. Krause will assist in the transition of the role until his departure from the Company.  Hock E. Tan, the Company’s President and Chief Executive Officer, will immediately assume Mr. Krause’s responsibilities, and the position of President of Broadcom Software Group will be eliminated.

In addition, the Company also announced that Charlie B. Kawwas, Ph.D., currently Chief Operating Officer of the Company, has been named President of the new Semiconductor Solutions Group, overseeing the Company’s broad semiconductor portfolio, effective July 11, 2022.  Dr. Kawwas remains responsible for the Company’s global operations and sales for the Semiconductor and Brocade Storage Networking businesses.  Dr. Kawwas will continue to report to Mr. Tan.
