Item 8.01 Other Events.

 

As previously disclosed, Global SPAC Partners Co., a special purpose acquisition company incorporated as a Cayman Islands exempted company (“Global”), entered into a definitive Business Combination Agreement, dated as of December 21, 2021, as amended and restated on May 18, 2022 (the “Business Combination Agreement”), with Gorilla Technology Group Inc., a Cayman Islands exempted company (“Gorilla”), Gorilla Merger Sub, Inc., a Cayman Islands exempted company and a wholly owned subsidiary of Gorilla, Global SPAC Sponsors LLC, a Delaware limited liability company, in the as the representative from and after the Effective Time (as defined in the Business Combination Agreement) for the shareholders of Global as of immediately prior to the Effective Time and their successors and assignees, and Tomoyuki Nii, in the capacity as the representative from and after the Effective Time for the Gorilla shareholders as of immediately prior to the Effective Time.

 

On June 30, 2022, Global issued a press release announcing the mailing of a preliminary proxy statement announcing an extraordinary general meeting of Global’s shareholders on July 13, 2022 to extend the date by which Global must consummate an initial business combination to on or before August 13, 2022 (the “Extended Date”); provided, however, that if, by August 13, 2022, Global has (i) mailed its definitive proxy statement/prospectus in connection with a shareholder meeting to approve the business combination and related transactions with Gorilla (such meeting, the “Business Combination Meeting”), and (ii) called the Business Combination Meeting to be held no more than 14 days following the mailing date, but (iii) has not yet held the Business Combination Meeting, then the Extended Date shall be automatically extended to the earlier of (a) the second business day following the Business Combination Meeting and (b) September 13, 2022. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.

In connection with the transactions contemplated by the Business Combination Agreement (the “Transactions”), Gorilla has filed with the Securities and Exchange Commission (the “SEC”) a Registration Statement on Form F-4, which includes a preliminary proxy statement of Global, and a preliminary prospectus of Gorilla in connection with the proposed Transactions. The definitive proxy statement and other relevant documents will be mailed to Global security holders as of June 15, 2022, the record date established for the Business Combination Meeting.
