Explanatory Note

This Post-Effective Amendment No. 36 to Registrant’s Registration Statement on Form N-1A (the “Amendment”) is being filed pursuant to Rule 485(b)(1)(iii) under the Securities Act of 1933 (the “Securities Act”) for the sole purpose of delaying until July 1, 2022 the effectiveness of Post-Effective Amendment No. 28 to the Registrant’s Registration Statement (“PEA 28”) relating to the O’Shares ESG 500 ETF, O’Shares ESG Quality Value ETF, O’Shares ESG Quality Growth ETF, O’Shares Quality Preferred ETF, O’Shares Next Internet Giants ETF and O’Shares Autonomous and Electric Vehicles ETF series of the Registrant. PEA 28 was filed with the U.S. Securities and Exchange Commission (“SEC”) via the EDGAR system pursuant to Rule 485(a)(2) of the Securities Act on September 27, 2021 (Accession Number 0001680359-21-000206), to be effective on December 11, 2021.

Accordingly, the prospectus and SAI contained in PEA 28 related to the above-referenced series of the Registrant and the Part C included in Post-Effective Amendment No. 29 to the Registrant’s Registration Statement filed on October 28, 2021 (Accession No. 0001387131-21-010490) are incorporated herein by reference in their entirety.
