Item 5.07. Submissions of Matters to a Vote of Security Holders.

On May 4, 2022, PowerSchool Holdings, Inc. (the “Company”) held its 2022 Annual Meeting of Shareholders (the “Annual Meeting”). At the Annual Meeting, the shareholders voted on the following four proposals, each of which is described in detail in the Company’s revised definitive proxy statement filed with the Securities and Exchange Commission on April 6, 2022 (the “proxy statement”).

There were 158,472,367 and 39,928,472 shares of Class A and Class B common stock outstanding, respectively (together, the “shares”) on March 11, 2022, the record date (the “Record Date”) for the Annual Meeting. At the Annual Meeting, 155,440,938 Class A shares and 39,928,472 Class B shares (together comprising a total of 195,369,410 shares) were represented in person or by proxy, representing approximately 98.472% of the total outstanding shares as of the Record Date, which constituted a quorum.

All nominated directors were elected and the other proposals were approved by the required shareholder vote. The final voting results with respect to each proposal are set forth in the following tables.
