Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed in the Form 8-K filed on January 10, 2022 (the “Previous 8-K”), Apollo Commercial Real Estate Finance, Inc. (the “Company”) announced that its Board of Directors (the “Board”) appointed Anastasia Mironova to the positions of Chief Financial Officer, Secretary and Treasurer of the Company, effective upon the commencement of her employment with ACREFI Management, LLC or its affiliate, which was expected at that time to be at the beginning of the second quarter of 2022. As an update to the Previous 8-K, the effective date of Ms. Mironova’s appointment to these positions is April 4, 2022. For Ms. Mironova’s biography and additional information on the restricted stock units of the Company to be granted to Ms. Mironova, please refer to the Previous 8-K. As previously disclosed, Stuart Rothstein’s service as interim Chief Financial Officer, Secretary and Treasurer is ending concurrent with Ms. Mironova’s appointment. Mr. Rothstein will remain the Company’s Chief Executive Officer and President.
