Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2021 (the “Effective Date”), Thomas R. Ketteler informed American Eagle Outfitters, Inc. (the “Company”) that he was resigning from the Company’s Board of Directors (the “Board”) for personal reasons as of the Effective Date. Mr. Ketteler served on the Board and as a consultant to the Company for over 40 years, and the Board extends its sincere thanks and appreciation to Mr. Ketteler for his service and loyalty.

Following Mr. Ketteler’s resignation from the Board and effective as of the Effective Date, the Board reduced the number of members of the Board from nine to eight.
