This communication is being made in respect of the proposed business combination (the “Business Combination”) contemplated by that certain Business Combination Agreement, dated as of August 3, 2021, by and between FTAC Athena Acquisition Corp. (the “Company”), and Pico Quantitative Trading Holdings LLC (“Pico”). On November 17, 2021, Amanda Abrams, the President and Chief Executive Officer of the Company, participated in a webinar entitled “IFR US ECM Roundtable — SPACs at a Crossroads.” A slide pertaining to the Business Combination included in the webinar materials is attached hereto. Additional Information About the Transactions and Where to Find It

 

The Company intends to file with the Securities and Exchange Commission (the “SEC”) a preliminary proxy statement in connection with the transactions contemplated by the Business Combination Agreement (the “Transactions”) and will mail a definitive proxy statement and other relevant documents to its shareholders. The Company’s shareholders and other interested persons are advised to read, when available, the preliminary proxy statement, and amendments thereto, and the definitive proxy statement in connection with the Company’s solicitation of proxies for its extraordinary general meeting to be held to approve the Transactions, as these materials will contain important information about the Company, Pico and the Transactions.
