Item 8.01.    Other Events

On September 2, 2021, Bunge Limited (NYSE: BG) issued a press release announcing that Bunge North America, Inc., a subsidiary of Bunge Limited (“Bunge”), and Chevron U.S.A. Inc., a subsidiary of Chevron Corporation (NYSE: CVX) (“Chevron”), have entered into a non-binding memorandum of understanding (“MOU”) to create a 50/50 joint venture to create renewable fuel feedstocks. Under the MOU, Bunge is expected to contribute its soybean processing facilities in Destrehan, Louisiana, and Cairo, Illinois, and Chevron is expected to contribute up to $600 million in cash to the joint venture. The creation of the joint venture is subject to the negotiation of definitive agreements with customary closing conditions, including regulatory approval.
