Item 1.01 Entry into a Material Definitive Agreement. 

 

Change in Transfer Agent

 

On August 20, 2021, QMIS TBS Capital Group Corp., a Delaware corporation (the “Company”), entered into an “Agreement between Stock Transfer Agent and Company” (the “Agreement”) with ClearTrust, LLC, effective as of August 15, 2021. Pursuant to the Agreement, the Company engaged and appointed ClearTrust, LLC, to serve as the Company’s transfer agent. The Company also terminated its relationship with VStock Transfer as the former transfer agent of the Company.
