Item 7.01Regulation FD Disclosure.

 

As previously disclosed, on February 21, 2021, Starboard Value Acquisition Corp. (“SVAC”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Cyxtera Technologies, Inc., a Delaware corporation (“Cyxtera”), and the other parties thereto, pursuant to which Cyxtera and the various operating subsidiaries of Cyxtera will become subsidiaries of SVAC, with the Cyxtera stockholder becoming a stockholder of SVAC (the transactions contemplated by the Merger Agreement, the “Transactions”).

 

On July 16, 2021, SVAC issued a press release announcing that a special meeting of its stockholders (the “Special Meeting”) will be held on Wednesday, July 28, 2021 at 10:00 a.m., Eastern Time. The record date for the Special Meeting is June 28, 2021. The purpose of the Special Meeting is to vote on certain proposals relating to the Transactions. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
