Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On July 2, 2021, Scopus BioPharma Inc. (the “Company”) terminated the employment of Ashish Sanghrajka, its former President, in accordance with the terms of his employment agreement, pursuant to which the Company has no further financial obligations. The Audit Committee of the Board of Directors of the Company conducted an internal review and, as a result of that review, the Audit and Executive Committees of the Board requested the resignations of Mr. Sanghrajka and Paul Hopper from the Board of Directors.
