Item 3.03

 

Material Modification to Rights of Security Holders.

 

On June 14, 2021, SecureTech Innovations, Inc. (“SecureTech” or “Company”) voted to extend the expiration date of certain outstanding Stock Purchase Warrants (“Warrants”). SecureTech presently has a Registration Statement on Form S-1 pending with the Securities and Exchange Commission (“SEC”), which is not “effective” yet. This has created a situation where the Warrants may expire prior to the shares underlying them receiving proper registration through the pending Registration Statement. As such, SecureTech’s Board of Directors has approved extending the expiration dates on two sets of outstanding Warrants.

 

Effective immediately, 439,300 $0.20 Warrants slated for expiration on June 30, 2021 shall now expire on December 31, 2021 and 439,300 $0.30 Warrants slated for expiration on December 31, 2021 shall now expire on March 31, 2022.
