The Registrant is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2020 (the “Report”) by the prescribed date of March 31, 2021, without unreasonable effort or expense because the Registrant and its independent auditor need additional time to complete certain disclosures and analyses required to be included in the Report.  In accordance with Rule 12b-25 promulgated under the Securities Exchange Act of 1934, as amended, the Registrant intends to file its Report on or prior to the fifteenth calendar day following the prescribed due date.

During the year ended December 31, 2020 the Company incurred a net loss of $7,812,443, utilized cash in operating activities of $889,026, and had an accumulated deficit of $8,566,819 as of December 31, 2020. During the year ended December 31, 2019 the Company incurred a net loss of $636,033, utilized cash in operating activities of $431,165, and had an accumulated deficit of $754,376 as of December 31, 2019.
