Item 8.01Other Events

 

On March 31, 2021, International Seaways, Inc. (“INSW” or the “Company”) and Diamond S Shipping Inc. (“Diamond”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated March 30, 2021 (the “Merger Agreement”), pursuant to which INSW will, upon the terms and subject to the conditions set for in the Merger Agreement, merge with Diamond in a stock-for-stock transaction. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

 

In connection with the announcement of the Merger Agreement, INSW and the Diamond intend to provide supplemental information regarding the proposed transaction in connection with presentations to analysts and investors. A copy of the investor presentation is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
