U.S. Dollar Offering
On March 22, 2021, Verizon Communications Inc. (“Verizon”) closed the sale of $750,000,000 aggregate principal amount of its Floating Rate Notes due 2024, $750,000,000 aggregate principal amount of its Floating Rate Notes due 2026, $1,750,000,000 aggregate principal amount of its 0.750% Notes due 2024, $2,750,000,000 aggregate principal amount of its 1.450% Notes due 2026, $3,000,000,000 aggregate principal amount of its 2.100% Notes due 2028, $4,250,000,000 aggregate principal amount of its 2.550% Notes due 2031, $3,750,000,000 aggregate principal amount of its 3.400% Notes due 2041, $4,500,000,000 aggregate principal amount of its 3.550% Notes due 2051 and $3,500,000,000 aggregate principal amount of its 3.700% Notes due 2061, pursuant to a purchase agreement with J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC, Barclays Capital Inc., Citigroup Global Markets Inc. and Credit Suisse Securities (USA) LLC, on behalf of themselves and as representatives of the several Purchasers named therein. The notes were sold pursuant to an effective shelf registration statement on Form S-3 (Reg. No. 333-233608), which became effective upon filing with the Securities and Exchange Commission on September 4, 2019 (the “Registration Statement”).
Canadian Dollar Offering
On March 22, 2021, Verizon closed the sale of C$1,000,000,000 aggregate principal amount of its 2.375% Notes due 2028 and C$500,000,000 aggregate principal amount of its 4.050% Notes due 2051, pursuant to a purchase agreement with Merrill Lynch Canada, Inc., RBC Dominion Securities Inc., TD Securities Inc., Deutsche Bank Securities Inc. and Scotia Capital Inc. The notes were sold pursuant to the Registration Statement.
This Current Report on Form 8-K is being filed for the purpose of filing the forms of notes for Verizon’s Floating Rate Notes due 2024, Floating Rate Notes due 2026, 2.375% Notes due 2028 and 4.050% Notes due 2051 as Exhibits to the Registration Statement, and such Exhibits are hereby incorporated by reference into the Registration Statement.
