Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2021, Perspecta Inc. (the “Company”) announced that Mac Curtis, Chairman and Chief Executive Officer of the Company, intends to retire subject to and following the closing of the pending acquisition by Peraton, an affiliate of Veritas Capital, pursuant to the Agreement and Plan of Merger, dated as of January 27, 2021, among the Company, Jaguar ParentCo Inc. (“Parent”) and Jaguar Merger Sub Inc., a wholly owned subsidiary of Parent.

Important Information for Investors and Stockholders

This communication is being made in respect of the proposed transaction involving the Company and Parent.  In connection with the proposed transaction, the Company intends to file the relevant materials with the SEC, including a proxy statement on Schedule 14A.
