ITEM 8.01.Other Events.
The Board of Directors of Apartment Income REIT Corp. (the “Company”) has determined that the Company’s first Annual Meeting of Stockholders will be held on December 7, 2021. Deadlines for submission of nominations and shareholder proposals are set out below for clarity given that this is the Company’s first Annual Meeting. Additional information is available in the Company’s Amended and Restated Bylaws (“Bylaws”) available on EDGAR at https://www.sec.gov/Archives/edgar/data/926660/000119312520317473/d932189dex34.htm.

To be considered timely under the Bylaws, stockholder notice of director nominations and stockholder proposals must be delivered to, or mailed to and received by, the Company’s Secretary at the principal executive offices of the Company not earlier than August 16, 2021, nor later than September 15, 2021. |

To be considered timely under the Bylaws, stockholder notice of proxy access nominations must be delivered to, or mailed to and received by, the Company’s Secretary at the principal executive offices of the Company not earlier than May 28, 2021, nor later than June 27, 2021. |
