Other Events.

On November 5, 2020, Pfizer Inc. (“Pfizer”) issued a press release announcing information regarding “when-issued” trading of shares of Viatris Inc. (“Viatris”) common stock and “ex-distribution” trading of shares of Pfizer common stock in connection with the proposed spin-off of Pfizer’s global, primarily off-patent branded and generic established medicines business (the “Upjohn Business”) and the subsequent proposed combination of the Upjohn Business with Mylan N.V to form Viatris. A copy of the press release is attached hereto as Exhibit 99.1.
