Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 23, 2020, The New York Times Company (the “Company”) announced that Arthur Sulzberger, Jr. will retire as Chairman and a member of the Company’s Board of Directors (the “Board”) effective December 31, 2020. The Board has appointed A.G. Sulzberger, Publisher of The New York Times and a member of the Board, to succeed him as Chairman.

A copy of the Company’s press release dated September 23, 2020, announcing the transition, is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
