Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 14, 2020, Brian L. Swartz notified Cornerstone OnDemand, Inc. (the “Company”) of his resignation from his position as the Company’s Chief Financial Officer, effective August 14, 2020. Mr. Swartz’s resignation is not the result of any disagreement or dispute with the Company. The Company is initiating a search for a replacement Chief Financial Officer and Patricia Coughlin, the Company’s Chief Accounting Officer, will serve as interim Chief Financial Officer, effective August 14, 2020.
