Sale of Telecommunications Subsidiary

On August 24, 2007, PPL Corporation (“PPL”) issued a press release announcing completion of the previously announced sale of its telecommunications subsidiary, PPL Telcom, LLC (“PPL Telcom”), to Zayo Bandwidth, Inc., a wholly owned subsidiary of Communications Infrastructure Investments, LLC.   A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
