Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On May 4, 2020, Christopher F. Caridi, Senior Vice President, Corporate Controller and Chief Accounting Officer of John Wiley & Sons, Inc. (the “Company”), announced his intention to resign from the Company to pursue another professional opportunity.  Mr. Caridi is expected to remain with the Company until June 5, 2020. Mr. Caridi’s departure is not due to a dispute or any matter relating to the Company’s accounting and financial policies and operations.
