Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On April 30, 2020, Lisa M. Bachmann, Executive Vice President, Chief Merchandising and Operating Officer of Big Lots, Inc. and the Company mutually agreed that she will retire on September 4, 2020. Ms. Bachmann will continue in her current role until September 4, 2020. If her successor is not appointed by September 4, 2020, she will remain employed in an advisory capacity to help with a smooth transition until a mutually agreed upon date.
