Item 7.01.     Regulation FD Disclosure.

Park Hotels & Resorts Inc. (the “Company”) issued a press release on March 16, 2020 announcing actions it has taken, independently and in coordination with its hotel management companies, to mitigate the effect on its business from the national emergency that has arisen as a result of the COVID-19 virus.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The information furnished under this Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

 

Item 8.01.     Other Events.

On March 16, 2020, the Company announced that, following the payment of its previously declared first quarter dividend on April 15, 2020 to stockholders of record as of March 31, 2020, the Company expects to suspend its quarterly dividend through the balance of the year until an appropriate year-end dividend can be determined by its board of directors.
