Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
    
On February 11, 2020, the Board of Directors (the “Board”) of EPAM Systems, Inc. (the “Company”), upon the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed Mr. Eugene Roman to serve on the Board as an independent director and a member of the Audit Committee.

There is no arrangement or understanding between Mr. Roman and any other persons pursuant to which Mr. Roman was selected as a director. There are no transactions to which the Company or any of its subsidiaries is a party and in which Mr. Roman has a direct or indirect material interest requiring disclosure under Item 404(a) of Regulation S-K. Mr. Roman’s compensation for service as a director will be consistent with that of the Company’s other non-employee directors, as described in the Company’s most recent Annual Report on Form 10-K.
