ITEM 8.01 – Other Events

On December 23, 2019, Cincinnati Bell Inc. (the “Company”) and Brookfield Infrastructure Partners L.P. (“Brookfield”) issued a joint press release (the “Press Release”), announcing the execution of the Agreement and Plan of Merger (the “Merger Agreement”) among the Company, Charlie AcquireCo Inc., a Delaware corporation (“Parent”), and Charlie Merger Sub Inc., an Ohio corporation, providing for the acquisition of the Company by Parent.

A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Additional Information and Where to Find It
