Item 7.01          Regulation FD Disclosure.

Buckeye Partners, L.P. (the “Partnership”) has successfully received approval from both the Committee on Foreign Investment in the United States (“CFIUS”) and the Pennsylvania Public Utilities Commission for the proposed acquisition of the Partnership by entities affiliated with IFM Global Infrastructure Fund announced on May 10, 2019 (the “proposed merger”).  The Partnership continues to expect that the proposed merger will close during the fourth quarter of 2019.

For more information regarding the proposed merger, please see the Partnership’s Current Reports on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on May 10, 2019 and July 31, 2019 and Schedule 14A filed with the SEC on June 25, 2019, as supplemented by the Partnership’s Current Report on Form 8-K filed with the SEC on July 22, 2019.
