Approval of the amendment to our Restated Certificate of Incorporation to increase the number of authorized shares of common stock from 150,000,000 to 300,000,000. 4. Approval of our 2014 Employee Stock Purchase Plan. 5. Approval of our 2014 Omnibus Incentive Plan. 6. Ratification of our selection of PricewaterhouseCoopers LLP as our independent registered public accounting firm for the fiscal year ending December 31, 2014.
