Results of Operations and Financial Condition.

On July 28, 2010, AMN Healthcare Services, Inc. (the “Company”) reported its second quarter 2010 results. The Company’s second quarter 2010 results are discussed in detail in the press release which is furnished as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.

Other Events.

On July 28, 2010, AMN announced that it entered into a definitive agreement to acquire NF Investors, Inc. As a result, we are also filing this Form 8-K as soliciting material pursuant to Rule 14a-12 under the Securities Exchange Act of 1934.
