Explanation of Responses:
1. This transaction was executed in multiple trades at prices ranging from $71.95 to $72.025. The price reported above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request by the staff of the Securities and Exchange Commission, Time Warner Cable Inc. or a security holder of Time Warner Cable Inc., full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes 1 and 2 to this Form 4.
2. This transaction was executed in multiple trades at prices ranging from $71.77 to $71.99. The price reported above reflects the weighted average sale price.
3. This option is exercisable in increments of 25% on the first four anniversaries of the date of grant, February 13, 2009.
4. On March 12, 2009, the Issuer (a) paid a cash dividend of $10.27 per share to all holders of record of its Class A common stock and Class B common stock on March 11, 2009 (the "Special Dividend"), (b) after payment of the Special Dividend, reclassified each share of its Class A common stock and Class B common stock into one share of its common stock (the "Recapitalization") and (c) after the Recapitalization, effected a 1-for-3 reverse stock split on all outstanding shares of its common stock (the "Reverse Stock Split"). The exercise price of and number of shares underlying this option award reflect antidilution adjustments effected in connection with the Special Dividend, the Recapitalization and the Reverse Stock Split.
5. This option is exercisable in increments of 25% on the first four anniversaries of the date of grant, March 3, 2008.
6. This option is exercisable in increments of 25% on the first four anniversaries of the date of grant, February 17, 2011.
