Item 8.01 Other Events

     On October 29, 2010, Trico Marine Services, Inc. (the “Company”) issued a press release announcing it has reached an agreement in principle with a steering committee of holders of approximately 83% of the 11-7/8% senior secured notes due 2014 of Trico Shipping AS to implement a restructuring of the outstanding indebtedness of Trico Supply AS and its subsidiaries. Trico Supply AS and Trico Shipping AS are subsidiaries of the Company.

     A copy of the related press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
